Welcome to Niellégal. These Terms of Service (“Terms”) govern your access to and use of the Niellégal platform, website, templates, products, services, and related resources. By accessing or using Niellégal, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Niellégal is owned and operated by NiellarHill Trading and Logistics Ltd., a company duly registered under the laws of the Republic of Ghana (“Niellégal”, “we”, “our”, or “us”).

Niellégal is a legal technology platform that provides access to standardised legal templates, legal resources, digital documents, and related services.

Niellégal does not provide legal advice, legal representation, or fiduciary services. Your use of the platform does not create a lawyer–client relationship between you and Niellégal.

Certain features or services may require payment of subscription or access fees.

These Terms apply to all users of the platform, including visitors, registered users, subscribers, and purchasers of templates or services.

Eligibility And Acceptance

By using Niellégal, you represent and warrant that:

  • You are at least eighteen (18) years old
  • You have the legal capacity and authority to enter into these Terms; and

Where acting on behalf of a company, organisation, or other entity, you are authorised to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the platform.

Account Registration And Security

Access to certain features of the platform may require registration of an account.

You agree to provide accurate, complete, and current information during registration and to keep such information updated.

Niellégal reserves the right, in its absolute discretion, to approve, reject, suspend, or terminate any account or registration request.

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

You must immediately notify Niellégal of any unauthorised access to or use of your account.

User accounts are personal and non-transferable.

Niellégal may suspend or restrict access to the platform where reasonably necessary for security, compliance, maintenance, or operational reasons.

Subscriptions, Fees, And Payments

Certain services, templates, or resources may only be accessible upon payment of applicable fees.

All fees are displayed on the platform and may be amended at any time.

Unless expressly stated otherwise, subscriptions are not automatically renewed.

Failure to make payment when due may result in suspension or termination of access.

All payments are non-refundable except where required by applicable law.

Due to the nature of digital products, templates and downloadable content cannot be returned once accessed or delivered.

Niellégal reserves the right to offer promotions, discounts, trial periods, or special offers subject to separate terms.

Licence And Use Of Templates

Subject to compliance with these Terms, Niellégal grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use templates and platform content for your personal or internal business use only.

Templates and resources may not be:

  • Resold
  • Redistributed
  • Sub-licensed
  • Commercially exploited
  • Shared publicly as your own work; or

Used for any unlawful purpose.

Users may customise templates for their own lawful use.

You may not use templates, platform content, or generated documents to train artificial intelligence systems, machine learning models, or automated legal document generation systems without Niellégal’s prior written consent.

Niellégal reserves all intellectual property rights not expressly granted under these Terms.

No Legal Advice

Niellégal is a technology platform providing access to standardised legal templates and related resources.

Nothing on the platform constitutes legal advice, legal representation, or the practice of law.

Use of the platform does not create a lawyer–client relationship.

Users remain solely responsible for determining whether any template, document, or resource is suitable for their circumstances.

Users are encouraged to seek independent legal advice before relying on or executing any document generated through the platform.

Acceptable Use

You agree to use the platform only for lawful purposes and in accordance with these Terms.

You must not:

  • Use the platform fraudulently or unlawfully
  • Upload false, misleading, or deceptive information
  • Interfere with the operation or security of the platform
  • Attempt unauthorised access to any systems or data
  • Circumvent subscription, payment, or security measures
  • Introduce malware, viruses, spyware, or harmful code
  • Use bots, crawlers, scrapers, or automated systems without written permission
  • Engage in spam or unsolicited communications
  • Redistribute or commercially exploit platform content without authorisation
  • Impersonate another person or entity; or

Use the platform in any way that may damage Niellégal’s reputation or operations.

Niellégal reserves the right to investigate any suspected misuse of the platform.

User Content

“User Content” means any information, documents, communications, feedback, data, text, or materials submitted, uploaded, generated, or transmitted through the platform by a user.

You are solely responsible for your User Content and warrant that:

  • It is accurate and lawful
  • It does not infringe third-party rights
  • It does not violate confidentiality, privacy, or data protection obligations; and

It does not contain unlawful, offensive, defamatory, abusive, fraudulent, or harmful material.

By submitting User Content, you grant Niellégal a worldwide, non-exclusive, royalty-free licence to use, reproduce, store, process, adapt, and display such content solely for the operation, maintenance, improvement, and administration of the platform.

Niellégal does not claim ownership of the personal or legal information you input into templates.

Niellégal reserves the right, in its sole discretion and without obligation, to monitor, review, remove, restrict, or disable any User Content that violates these Terms or applicable law.

Intellectual Property

Unless otherwise stated, all intellectual property rights in the platform and its contents, including templates, text, graphics, software, branding, logos, guides, and designs, are owned by or licensed to NiellarHill Trading and Logistics Ltd.

All rights are reserved.

“Niellégal”, “NiellarHill”, and related logos and branding are trademarks or trade names belonging to NiellarHill Trading and Logistics Ltd.

Nothing in these Terms grants you any ownership rights in the platform or its content.

Data Protection And Privacy

Niellégal processes personal data in accordance with the Data Protection Act, 2012 (Act 843) of Ghana, together with our Privacy Policy and Cookie Policy.

By using the platform, you consent to the collection, storage, processing, and use of your data as reasonably necessary to provide the services.

Niellégal may use your contact information to:

  • Provide services and account support
  • Send service-related communications
  • Improve the platform
  • Comply with legal obligations; and

Communicate promotional or marketing materials where permitted by law.

Niellégal may disclose information where required by law, court order, or lawful request from a regulatory or governmental authority.

Platform Availability

Niellégal does not guarantee uninterrupted, secure, or error-free operation of the platform.

Access may be suspended or restricted for maintenance, upgrades, security, operational, or compliance reasons.

Niellégal reserves the right to modify, discontinue, or remove any feature, template, product, or service at any time without liability.

Third-Party Services And Links

The platform may contain links to third-party websites, software, or services.

Such links are provided for convenience only.

Niellégal does not endorse or assume responsibility for third-party content, services, or websites.

Disclaimers

The platform and all content are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Niellégal disclaims all warranties, representations, and guarantees, whether express or implied, including warranties relating to:

  • Accuracy
  • Reliability
  • Availability
  • Merchantability
  • Fitness for a particular purpose; and

Non-infringement.

Niellégal does not guarantee that templates or resources will be suitable, enforceable, legally sufficient, or appropriate for your specific circumstances.

Limitation Of Liability

Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.

To the fullest extent permitted by law, Niellégal shall not be liable for any indirect, incidental, consequential, special, punitive, or economic loss, including loss of profits, revenue, goodwill, opportunities, anticipated savings, contracts, or data.

Niellégal shall not be liable for any loss arising from:

  • Reliance on templates or platform content
  • Temporary unavailability of the platform
  • Security breaches beyond our reasonable control
  • Third-party services or providers
  • User misuse of templates or resources; or

Events beyond our reasonable control.

Niellégal’s total aggregate liability arising out of or relating to the platform or these Terms shall not exceed the total amount paid by you to Niellégal during the three (3) months immediately preceding the event giving rise to the claim.

The limitations in this section apply to NiellarHill Trading and Logistics Ltd., its affiliates, directors, officers, employees, contractors, agents, and service providers.

Indemnity

You agree to indemnify, defend, and hold harmless NiellarHill Trading and Logistics Ltd., its affiliates, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or legal fees arising from:

  • Your use of the platform
  • Your breach of these Terms
  • Your misuse of templates or resources; or

Your violation of applicable law or third-party rights.

Termination And Enforcement

Niellégal may suspend, restrict, or terminate your access to the platform at any time where:

  • You breach these Terms
  • We reasonably suspect unlawful or fraudulent activity
  • Required for security or compliance reasons; or

Necessary to protect the platform, users, or business operations.

Upon termination:

  • Your right to access the platform immediately ceases; and

Any outstanding obligations owed by you remain enforceable.

You must not attempt to circumvent any suspension or restriction imposed by Niellégal.

Force Majeure

Niellégal shall not be liable for any delay, interruption, or failure to perform resulting from events beyond its reasonable control, including natural disasters, cyberattacks, internet outages, governmental actions, labour disputes, pandemics, civil unrest, or failures of third-party service providers.

Electronic Communications

You consent to receiving notices, disclosures, agreements, and communications electronically.

Electronic communications satisfy any legal requirement that communications be in writing.

Entire Agreement

These Terms, together with any policies referenced herein, constitute the entire agreement between you and Niellégal regarding the platform.

Variation

Niellégal reserves the right to amend or update these Terms at any time.

Updated Terms become effective upon publication on the platform, unless otherwise stated.

Continued use of the platform after publication constitutes acceptance of the revised Terms.

No Waiver

Failure or delay in enforcing any provision of these Terms shall not constitute a waiver of that provision or any other rights.

Severability

If any provision of these Terms is found unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

Assignment

Niellégal may assign or transfer its rights and obligations under these Terms without restriction.

Users may not assign or transfer their rights or obligations without Niellégal’s prior written consent.

Third-Party Rights

These Terms do not create rights enforceable by any third party except as expressly stated.

Survival

Any provisions which by their nature should survive termination shall survive, including intellectual property rights, disclaimers, indemnities, limitations of liability, payment obligations, and dispute resolution provisions.

Governing Law And Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana.

Any dispute arising out of or relating to these Terms or the platform shall be subject to the exclusive jurisdiction of the courts of Ghana.

English shall be the language of all proceedings and communications relating to disputes.
